Adobe Inc. announced its plan to acquire Semrush Holdings Inc., a renowned brand visibility and search engine optimization (SEO) platform, in an all-cash deal valued at approximately $1.9 billion. This acquisition represents a strategic push by Adobe to enhance its Digital Experience Cloud by integrating Semrush’s SEO and generative engine optimization (GEO) capabilities, marking a significant step in addressing the evolving needs of AI-era marketing.
Under the agreement, Adobe will pay $12 per share, nearly doubling Semrush’s previous market price. The transaction has been approved by both companies’ boards and is expected to close in the first half of 2026, pending regulatory approvals and shareholder consent.
Semrush’s platform offers marketers powerful tools for optimizing brand visibility not only through traditional search engines but also via AI-powered large language models like ChatGPT and Google Gemini. This dovetails with Adobe’s suite of products including Adobe Experience Manager, Adobe Analytics, and the new Adobe Brand Concierge allowing marketers a comprehensive and unified view of how their brands perform across multiple digital channels.
Adobe’s President of Digital Experience, Anil Chakravarthy, emphasized that “brand visibility is being reshaped by generative AI,” warning that companies that do not adapt risk losing relevance and revenue. With this acquisition, Adobe is positioning itself at the forefront of AI-driven marketing innovation, empowering brands to engage more effectively with audiences in an AI-dominated landscape.
