Icertis has acquired Dioptra in a move aimed at strengthening its AI-powered contract intelligence platform and advancing its long-term strategy to deliver an AI-first contracting experience. The deal builds on the launch of Icertis Vera and reinforces the company’s position in the rapidly evolving contract lifecycle management (CLM) market.
The acquisition comes at a time when more than 80% of C-suite leaders say they are ready to use AI agents in contract negotiations. Dioptra’s capabilities including surgical redlining and automated playbook creation will enhance Icertis Contract Intelligence by improving accuracy and accelerating contract operations. The integration is designed to unify pre-signature workflows and streamline review processes for legal teams.
CEO Anand Subbaraman said the combination of Icertis’ robust contract data repository and Dioptra’s legal-centric tools will allow the company to deliver “more accurate AI that understands the intention of contracts.” Icertis already consolidates previously fragmented contract data once spread across an average of 24 systems into a single platform that provides AI-driven insights, operations, and performance.
Dioptra’s pre-signature agents will add automation for playbook creation and first-line contract review, pushing enterprises closer to fully autonomous contracting. Co-founder Farah Gasmi noted that Dioptra has focused on accuracy and reliability, achieving 40% adoption growth month-over-month in 2025. The team, with experience from Spotify, IBM Watson, Yahoo, and Columbia University, will join Icertis’ product and engineering organization.
Icertis says the combined offering will enhance clause management, risk review, and negotiation workflows, positioning legal teams to deploy contract AI with greater confidence and transparency.
